Welcome to Socials With Michelle. By using our website and services, you agree to the following Terms of Service. Please read them carefully before engaging our services.

1. Definitions

"We", "us", "our" refers to Socials With Michelle.
"You", "your" refers to the client or business using our services.
"Services" means any social media management, content writing, consulting, or related services provided by Socials With Michelle.
"Agreement" refers to these Terms of Service, along with any written proposal, contract, or email confirmation of work.

2. Services

Socials With Michelle provides professional social media management, content writing, and related digital marketing services.
All work will be agreed in writing before commencement, detailing scope, deliverables, and deadlines.

We reserve the right to decline work that is unlawful, discriminatory, misleading, or unethical.

Any additional work requested outside the original agreement will be subject to a new quote and timeframe.

3. Payment Terms

Payment terms will be stated in your proposal or invoice.
Unless otherwise agreed, payment is due within 7 days of invoice.
Late payments may incur a 5% late fee per week, at our discretion.
For ongoing services, such as monthly retainers, payment is required upfront at the start of each billing period.
We reserve the right to pause or terminate services if payment is not received within the agreed timeframe.

4. Intellectual Property

All intellectual property rights in materials, content, and strategies created by Socials With Michelle remain our property until full payment has been received.
Once full payment is made, ownership of final deliverables will transfer to you, except for any third-party materials (such as stock imagery, templates, or licensed content) which remain the property of their respective owners.
You are not permitted to resell or redistribute our work without written consent.
Socials With Michelle reserves the right to display content we have created as a subject of our portfolio.

5. Confidentiality

Both parties agree to keep all confidential information shared during the course of work strictly private and not to disclose it to any third party without written permission.
This includes, but is not limited to, marketing strategies, business data, and client information.

This obligation remains in effect even after the end of the working relationship.

6. Limitation of Liability

We take great care to deliver high quality work, but we cannot guarantee specific outcomes such as sales, engagement levels, or follower growth.

Socials With Michelle shall not be liable for any indirect, incidental, or consequential loss arising from the use of our services, including loss of profit, business interruption, or data loss.

Our total liability under this agreement shall not exceed the total fees paid for the services in question.

7. Termination

Either party may terminate this agreement with 14 days’ written notice.

If you terminate before project completion, you will be invoiced for any work completed up to the date of termination, based upon an hourly rate of £17.28 per hour.
If we terminate due to non-payment, breach of agreement, or inappropriate behaviour, no refunds will be issued.

All intellectual property rights and confidential information obligations will remain in effect after termination.

8. Dispute Resolution

If a dispute arises, both parties agree to attempt to resolve it through open communication in good faith.
If a resolution cannot be reached, the matter may be referred to mediation before taking legal action.

This Agreement is governed by and shall be construed in accordance with the laws of England and Wales.
Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

9. Updates to These Terms

We may update these Terms and Conditions from time to time.
Any updates will be posted on this page with a revised “last updated” date. Continued use of our website or services after changes have been posted constitutes acceptance of the updated terms.
